LBC EXTERIOR CLEANING Ltd
Company Number 07857705
TERMS AND CONDITIONS OF BUSINESS
1. ABOUT US, AND THESE TERMS
1.1 LBC Exterior Cleaning (“LBC”, “we”, “us”, “our”) is a trading name of London Bin Cleaning Ltd, registered in England and Wales, company number 07857705, registered office Southern Cross Commercial Centre, Swanland Road, North Mymms, Hatfield AL9 7TS. All contracts for our services are entered into with that company.
1.2 These terms apply to every quotation, proposal, estimate, order, application and contract for the supply of services by LBC, and prevail over any other terms.
1.3 Priority of terms. These terms take precedence over any terms put forward by the Client, including any terms contained in or referred to by a purchase order, subcontract order, framework agreement, tender document or any other document issued by the Client, whether or not LBC signs, acknowledges or acts on that document. No such terms apply unless expressly accepted by LBC in writing signed by a director.
1.4 No variation of these terms is effective unless made in writing and signed by a director of LBC.
1.5 In these terms: “Client” means the person or company engaging LBC; “Quotation” means the written quotation, proposal or estimate issued by LBC; “Scope” means the works expressly described in the Quotation; “Site” means the location at which the works are to be carried out; “Works” means the services described in the Quotation.
2. QUOTATIONS AND FORMATION OF CONTRACT
2.1 Quotations are valid for 30 days from issue unless stated otherwise.
2.2 Quotations are based on the information available to LBC at the time and, unless a specific survey has been commissioned and paid for, on a visual inspection made from ground level or from otherwise accessible positions. A Quotation is not a survey, a condition report or a structural assessment.
2.3 A contract is formed on the earliest of: the Client’s signature or electronic acceptance of the Quotation; the Client’s written instruction to proceed; the Client’s issue of a purchase order; or LBC commencing the Works with the Client’s knowledge.
2.4 Acceptance of a Quotation by any of the means in clause 2.3 constitutes acceptance of these terms in full.
2.5 All Quotations are priced as a whole. If quantities are reduced, LBC reserves the right to re-price on the reduced quantities.
2.6 Where a Quotation is expressed as an estimate, or is based on provisional quantities or sample results, the final sum will be measured and adjusted on completion.
3. SCOPE OF WORKS
3.1 The Scope is exclusively what is expressly described in the Quotation. Anything not expressly described is excluded, whether or not it might be regarded as customary, incidental or reasonably necessary to achieve a particular appearance.
3.2 Without limiting clause 3.1, the following are excluded unless separately itemised and priced in the Quotation:
– removal of paint splashes, paint spillages, paint overspray or decorating residue of any kind;
– removal of paint, coatings, varnish, graffiti, adhesives, tape residue, mastic, silicone, sealant, mortar, cement, render, plaster or grout residue;
– carbon, sulphation or gypsum crust removal;
– brick tinting, colour matching, repointing, repair or restoration of any kind;
– cleaning of windows, glass, frames, doors, sills, balconies, balustrades, canopies, signage, cladding, metalwork or paving;
– gutter, downpipe, hopper, valley or drainage works;
– internal cleaning or builders’ clean;
– protection or masking of adjacent surfaces;
– collection, containment, filtration or disposal of run-off water;
– waste removal from Site;
– testing of any kind, including for lead, asbestos or other hazardous substances;
– warranties, design, drawings or calculations;
– out-of-hours or weekend working;
– vertical distribution of plant or materials, or labour to assist with unloading.
3.3 Where the Quotation describes a cleaning method — for example superheated water and low pressure (DOFF / ThermaTech), softwash, or chemical poultice — that describes the method LBC will apply. It is not a warranty of a particular end result.
3.4 Standard of finish. Where a sample area has been carried out and approved, the standard achieved in that sample is the contractual standard for the Works. Where no sample has been carried out, the contractual standard is the result that the specified method can reasonably achieve on the substrate in its actual condition.
4. VARIATIONS AND ADDITIONAL WORKS
4.1 Any instruction that adds to, omits from or changes the Scope is a Variation.
4.2 Variations must be instructed in writing (email is sufficient) by a person authorised by the Client. LBC is under no obligation to carry out any work outside the Scope, whether or not the Works have commenced.
4.3 Variations are charged at LBC’s applicable day rates or at an agreed lump sum. The fact that LBC has commenced, trialled or partially carried out a Variation is not agreement to carry it out at no cost, nor agreement to any price proposed by the Client.
4.4 Where LBC carries out work outside the Scope at the Client’s request before a price has been agreed, LBC is entitled to reasonable remuneration for that work at its prevailing day rates, together with materials and plant at cost plus 15%.
4.5 Concessions and goodwill. Where LBC agrees to carry out any work free of charge, at a reduced rate, or for a limited number of days as a gesture of goodwill, that agreement is a one-off concession limited to what is expressly agreed. It does not vary the Scope, does not amount to an acceptance that the work was within the Scope, and creates no obligation or precedent to repeat it or to extend it.
4.6 Where the Works are increased, LBC reserves the right to claim and be paid for additional preliminaries, including site supervision, necessary to ensure the increased works are executed safely, efficiently and in a controlled manner.
4.7 Daywork. Daywork will only be executed once a written instruction has been received. If the content or hours submitted on LBC’s daywork sheets are in any way unsatisfactory, corrections must be made before the sheet is signed. No later diversions or deductions from the signed hours or content will be entertained, and no ulterior comments or statements on daywork sheets (for example “FRPO”) will be entertained.
5. CONTAMINATION AND SOILING CAUSED BY OTHERS
5.1 Where an area cleaned by LBC is subsequently soiled, splashed, marked, stained or contaminated by any person other than LBC — including the Client, the main contractor, other trades, occupiers or members of the public — that is not a defect in LBC’s work and is not LBC’s responsibility.
5.2 Re-cleaning or removal of such contamination is a Variation under clause 4 and is chargeable.
5.3 Paint splashes, spillages, drips and overspray arising from decorating, spraying or coating works carried out by others fall squarely within clauses 5.1 and 5.2, whether or not those works were carried out before, during or after LBC’s attendance.
5.4 Where the Client alleges that contamination pre-dated LBC’s cleaning of the relevant area, the burden of demonstrating that is on the Client, by dated photographic evidence of the area concerned taken before LBC’s attendance.
5.5 Where LBC’s Works must be sequenced around other trades, the Client is responsible for that sequencing and for protecting areas LBC has completed. LBC is not responsible for the consequences of other trades working after LBC has cleaned an area.
6. ACCESS, SEQUENCING, STANDING TIME AND CLIENT-PROVIDED FACILITIES
6.1 The Client must provide free, safe, continuous and uninterrupted access to all working areas for the duration of the Works.
6.2 Quotations assume that the Works will be carried out in one continuous, unimpeded visit. Should the Works be halted through the actions of others, a de-mobilisation and re-mobilisation sum of £350 + VAT per instance will apply. Where hired-in plant or access equipment is involved and the Works are halted through the actions of others, any hire costs incurred will be passed to the Client.
6.3 Where LBC’s operatives attend Site and are prevented from working, or are delayed, through no fault of LBC, standing time will be charged at LBC’s applicable day rates, together with any failed-attendance charge.
6.4 Refusal or restriction of access. Where the Client, the Client’s agents, the main contractor or any other contractor refuses, restricts, delays or withdraws access — including access required to rinse, wash down, neutralise or remove any chemical, poultice or treatment applied by LBC — LBC has no liability whatsoever for any consequence of that refusal, restriction, delay or withdrawal, and the Client indemnifies LBC against any claim arising from it.
6.5 Unless expressly stated otherwise in the Quotation, LBC assumes that full and safe scaffold access will be provided to all necessary working areas, clad in Monarflex sheeting, and that the Client will maintain it for the duration of the Works. Where cherry picker, MEWP or scaffold tower access is quoted by LBC, it is quoted on the basis of unobstructed set-up positions and ground conditions capable of taking the load.
6.6 The Client is to provide, free of charge:
– a suitable dry, secure storage area for plant and materials;
– an adequate supply of clean, potable mains-pressure water within 50m of the working area;
– an adequate 110v power supply within 25m of the place of work;
– welfare facilities including canteen, WC and hot-water hand-washing;
– any necessary barriers, fencing, warning signage and traffic management;
– skips and waste disposal facilities;
– all necessary parking suspensions, dispensations and permits;
– all necessary permissions and consents from the local authority or any other governing body;
– adequate heating and weather protection where required for fixing conditions (minimum 5°C and rising);
– protection of completed works prior to project completion;
– any scaffold required, including erection and dismantling, over 2.5m.
6.7 LBC has presumed that no collection or containment of run-off water is required unless specifically stated in the Quotation.
7. CHEMICAL TREATMENTS, PROTECTION AND ADJACENT SURFACES
7.1 Certain works require the application of chemical products, including paint softeners, strippers, poultices, biocides, detergents and mild acidic or alkaline cleaners. LBC will supply COSHH assessments and product data sheets on request and before application where required.
7.2 The Client must notify LBC in advance of any adjacent surface, finish, planting, coating, glazing, historic fabric or installation that is sensitive to water or chemicals. LBC is not liable for damage to anything it was not told about.
7.3 Protection and masking of windows, doors, planting, paving and other adjacent surfaces is provided only where expressly itemised in the Quotation. Where itemised, the Quotation allows for one application of polythene protection to windows and potential points of water ingress. Should this be torn, displaced or removed by others during the cleaning process, a re-application cost will be incurred.
7.4 Rinsing and dwell times. Chemical treatments must be rinsed or neutralised within the period stated by the manufacturer. The Client must permit LBC continuous access to complete that rinsing. Where access is refused, restricted or delayed, or where LBC is instructed or required to leave Site before rinsing is complete, all consequences of the product remaining in place are at the Client’s risk and are excluded from LBC’s liability.
7.5 Accepted risks. Where LBC advises the Client, in advance, of a risk of marking, staining, discolouration or damage to glass, frames, coatings, planting or any adjacent surface, and the Client instructs LBC to proceed, that risk is accepted by the Client and LBC is not liable if it materialises.
7.6 LBC presumes that no lead or other hazardous substances are present in any paintwork or coating to be treated. Testing for such substances is the Client’s responsibility and cost.
8. CONDITION OF SURFACES, AND WHAT CLEANING CAN AND CANNOT ACHIEVE
8.1 Cleaning reveals the condition of a surface. It does not create it. LBC accepts no responsibility for pre-existing damage, defect, wear, weathering or deterioration that is revealed during cleaning, or that becomes apparent at any time after cleaning is complete.
8.2 Cleaning by pressure washing, superheated water or steam can dislodge loose or already-weakened pointing, render, coatings, paint or surface material. Loose or flaking paint can be removed by water travelling across a surface. Although every reasonable measure is taken to reduce the risk of this, LBC accepts no responsibility if it occurs.
8.3 Not all staining can be removed. Iron and rust staining, oil, bitumen, paint bleed, tannin, biological staining that has etched into the substrate, efflorescence, cement and mortar staining, carbon and sulphation crusts and historic pollution deposits may be permanent or may require a separately quoted specialist treatment.
8.4 Cleaned areas will differ in appearance from uncleaned areas, and cleaning of part of an elevation or roof will produce a visible difference. Variation in colour and tone across a cleaned surface is normal and reflects the underlying material.
8.5 Efflorescence, salting and lime bloom can appear on masonry after cleaning as moisture migrates out of the substrate. This is a normal characteristic of the material, is not a defect in LBC’s work, and generally weathers off over time.
8.6 Cleaning is not restoration, repair, redecoration or waterproofing.
9. ROOF CLEANING
9.1 Roof cleaning is a cleaning service only. LBC gives no warranty as to the condition, integrity, weathertightness or remaining service life of any roof, and does not carry out repairs unless separately quoted.
9.2 Loss of surface colour on concrete tiles. Most concrete roof tiles are not coloured throughout. Their colour comes from a pigmented surface layer — commonly applied by dip-dyeing or face pigmentation — over a grey concrete body. That pigmented layer erodes naturally over time through weathering, UV exposure, frost action and biological growth, and once eroded it cannot be restored by cleaning.
9.3 Moss, lichen, algae and accumulated soiling conceal this erosion. Removing them will frequently expose the true condition of the tile beneath, which may be faded, patchy, mottled, blotchy or grey, and which may vary considerably across the roof and between individual tiles. This is pre-existing wear that the cleaning has revealed. It is not damage caused by the cleaning.
9.4 Accordingly, LBC accepts no responsibility or liability for any loss, patchiness, mottling, fading or variation of surface colour on concrete, clay or composite tiles that is revealed by cleaning, and will not accept any claim for the recolouring, recoating, repainting, replacement or diminution in value of tiles on that basis.
9.5 Where such erosion is apparent before the Works, LBC will endeavour to draw it to the Client’s attention. However, the presence and extent of colour loss frequently cannot be determined until growth and soiling have been removed, and LBC gives no assurance as to how a roof will appear once cleaned.
9.6 Where a Client wishes to restore colour, LBC can quote separately for roof coating or colour restoration. That is a distinct service and is never included in a roof cleaning price.
9.7 Moss and biological growth. Moss and lichen bond to and grow into the tile surface. Their removal may lift loose surface material with them and may expose damage that the growth was previously concealing or, in some cases, holding together.
9.8 Existing roof defects. LBC is not liable for breakage, movement or slippage of tiles or slates that are already cracked, delaminated, spalled, frost-damaged, brittle, poorly bedded, previously repaired or suffering from nail fatigue, nor for any water ingress occurring through pre-existing defects in tiles, slates, ridges, hips, verges, valleys, flashings, soakers, underfelt or the roof structure. Clients are strongly advised to have any roof of uncertain condition inspected before cleaning is instructed.
9.9 The Client must notify LBC in advance of solar panels, rooflights, glazing, aerials, satellite dishes, plant, vents, and any part of the roof or structure that will not bear loading.
9.10 Biocide treatments. Where a biocide is applied, it continues to act for weeks or months after application and the appearance of the roof will continue to improve over that period. LBC gives no guarantee of any specific period free of regrowth. Regrowth is normal and its speed depends on aspect, shading, overhanging trees, local conditions and the porosity of the tiles.
9.11 Gutters, downpipes and drainage may become blocked by debris displaced during roof cleaning. Clearing gutters and downpipes on completion is chargeable unless expressly itemised in the Quotation.
10. GLASS, WINDOWS AND FRAMES
10.1 Cleaning of glass, windows, frames, sills and trickle vents is not included unless expressly itemised.
10.2 Where cleaning is carried out to elevations containing glazing, some water travel, run-off marking, residue or spotting on glass and frames is unavoidable. A final clean to glazing by others should be allowed for by the Client unless LBC has itemised it.
10.3 The Client must notify LBC in advance of any glazing that is leaded, stained, etched, filmed, coated, self-cleaning, secondary, historic or of uncertain condition. LBC is not liable for damage to, or marking of, glazing of that kind where it was not notified.
10.4 LBC is not liable for pre-existing scratching, pitting, staining, blown or failed sealed units, or failed frame seals, whether or not these become apparent during or after cleaning.
10.5 Marking of glass or frames arising from chemical treatments is governed by clauses 7.4 and 7.5.
11. BIN CLEANING
11.1 Bins must be emptied by the waste collection authority or contractor, and presented in the agreed location, on the scheduled service date. LBC cannot clean bins that are full, locked, obstructed or not presented.
11.2 Where LBC attends and is unable to clean bins for any of the reasons in clause 11.1, a failed-attendance charge applies and the service is treated as delivered for that cycle.
11.3 LBC accepts no responsibility for bins that are already split, cracked, damaged, missing lids or wheels, or otherwise defective, or for damage arising from such pre-existing defects.
11.4 LBC does not remove or dispose of waste, and will not clean bins containing clinical, chemical, hazardous or heavily contaminated waste.
12. ROPE ACCESS AND WORKING AT HEIGHT
12.1 Rope access works are carried out in accordance with IRATA International guidance by trained and certificated technicians.
12.2 The Client is responsible for ensuring that the structure, and any anchor points provided by or on behalf of the Client, are of sufficient integrity, and for providing evidence of testing and certification where LBC is to use existing anchors, eyebolts or davit systems.
12.3 Where no certificated anchor points exist, provision, installation and testing of suitable anchors is a separately quoted item.
13. HEALTH, SAFETY, CDM AND SITE CONDUCT
13.1 LBC will provide method statements, risk assessments and COSHH assessments appropriate to the Works before commencement.
13.2 Where the Construction (Design and Management) Regulations 2015 apply, the Client is responsible for discharging its duties as Client, and for appointing a Principal Designer and Principal Contractor where required. Where LBC is not the Principal Contractor, LBC is entitled to rely on the site rules, sequencing, welfare and access arrangements put in place by the Principal Contractor.
13.3 The Client must provide LBC with the asbestos register and any relevant survey before the Works commence. If any material suspected of containing asbestos is encountered, LBC will stop work in that area immediately and the Client is responsible for investigation and, where necessary, removal, at the Client’s cost. Standing time and re-mobilisation costs apply.
13.4 The Client must provide site induction, permits to work and any site-specific information required before LBC’s operatives can begin.
14. CHARGES, PAYMENT AND INTEREST
14.1 All prices are exclusive of VAT, which is charged at the prevailing rate.
14.2 A deposit of 25% of the total job value is payable to secure a booking unless otherwise agreed in writing.
14.3 Commercial clients. Unless a monthly application arrangement has been agreed in writing, the Client is invoiced on completion and the total amount due is payable within 14 days of the invoice date. Credit terms are subject to a satisfactory credit check. Where a credit check is not satisfactory, LBC may require payment in full in advance, and may impose a credit limit based on the Client’s payment history.
14.4 Domestic clients. The Client is invoiced on completion of the Works and the invoice is payable within 7 days.
14.5 LBC is not obliged to carry out further works, including works on other projects, while any invoice remains overdue.
14.6 Late payment — commercial. Where a sum is not paid by its due date, LBC may claim interest and fixed sum compensation under the Late Payment of Commercial Debts (Interest) Act 1998, at 8% above the Bank of England base rate from time to time, together with the statutory fixed sum and LBC’s reasonable costs of recovery, including legal, collection and debt recovery agency fees, on a full indemnity basis.
14.7 Late payment — domestic. Where a sum is not paid by its due date, LBC may charge interest at 4% above the Bank of England base rate from time to time, calculated daily from the due date until payment, together with LBC’s reasonable costs of recovery.
14.8 Any cheque returned unpaid is liable to an administrative charge of 5% of its value. Where payment is collected by Direct Debit or GoCardless, the date the payment leaves the Client’s account and the date the service is delivered will not necessarily coincide, but the payment collected relates to works completed in the same calendar month.
14.9 No set-off. The Client must pay all sums due in full, without any set-off, counterclaim, deduction, contra-charge, abatement or withholding of any kind, save as required by law or as expressly permitted under clause 15.
14.10 Retention on cleaning works is deemed to be 0%. Owing to LBC’s quality management systems, retention is not generally applicable.
14.11 Retention of title. LBC retains title to all materials and labour, fixed or unfixed, until payment has been made in full, and reserves the right to remove fixed or unfixed materials if payment is not made.
14.12 Any specified materials or services requiring pro-forma payment require simultaneous payment from the Client. Off-site vesting can be arranged in lieu.
15. CONSTRUCTION CONTRACTS — PAYMENT NOTICES, SUSPENSION AND ADJUDICATION
15.1 This clause applies where the contract is a construction contract to which Part II of the Housing Grants, Construction and Regeneration Act 1996 applies.
15.2 The due date for payment is the date of LBC’s invoice or application for payment. The final date for payment is 14 days after the due date.
15.3 The Client must give a payment notice not later than 5 days after the due date, specifying the sum the Client considers due and the basis on which it is calculated.
15.4 If the Client intends to pay less than the notified sum, the Client must give a pay less notice not later than 3 days before the final date for payment, specifying the sum the Client considers due at the date of the notice and the basis on which it is calculated.
15.5 If no valid payment notice or pay less notice is given within the periods in clauses 15.3 and 15.4, the notified sum — being the sum stated in LBC’s invoice or application — is payable in full on the final date for payment, without deduction.
15.6 Either party may refer a dispute to adjudication at any time. The Scheme for Construction Contracts (England and Wales) Regulations 1998 (as amended) applies. The adjudicator nominating body is the RICS unless otherwise agreed in writing.
15.7 Where a sum due is not paid in full by the final date for payment, LBC may suspend performance of any or all of its obligations on giving 7 days’ written notice, and is entitled to a reasonable amount in respect of costs and expenses reasonably incurred as a result of the suspension, including de-mobilisation and re-mobilisation, and to an extension of time.
16. COMPLAINTS, DEFECTS AND CLAIMS FOR DAMAGE
16.1 If the Client is dissatisfied with the service for any reason, the Client should email [email protected] with the subject line “service complaint”. LBC will review the complaint and respond within 30 days.
16.2 Alleged defective work must be identified by specific location and by reference to the Quotation and any approved sample area. General assertions that work is not to an acceptable standard, without identifying the areas concerned, will not be accepted.
16.3 Notification of damage. Any claim by the Client that LBC has caused damage to property must be notified to LBC in writing, with dated photographs, within 7 days of the date on which the damage was, or ought reasonably to have been, discovered, and in any event within 28 days of LBC’s last attendance at Site.
16.4 Opportunity to inspect and remedy. The Client must not carry out, instruct, or incur the cost of any remedial, replacement or making-good work until LBC has been given a reasonable opportunity — being not less than 5 working days from notification under clause 16.3 — to inspect the alleged damage and, if LBC so elects, to remedy it itself at LBC’s own cost.
16.5 Where the Client fails to comply with clause 16.3 or clause 16.4, LBC has no liability in respect of the alleged damage. In any event, LBC is not liable for the cost of remedial works carried out by or on behalf of the Client without first affording LBC the opportunity required by clause 16.4.
16.6 LBC’s primary remedy in respect of any defect in the Works is to re-attend and make good. The Client must allow LBC access to do so.
17. LIMITATION OF LIABILITY
17.1 Nothing in these terms limits or excludes LBC’s liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.
17.2 LBC is not liable, in contract, tort (including negligence), breach of statutory duty or otherwise, for:
– indirect, special or consequential loss of any kind;
– loss of profit, revenue, business, production, contracts, opportunity or anticipated savings;
– loss of or damage to goodwill or reputation;
– delay damages, liquidated damages, prolongation costs, or any claim passed down to the Client by any third party;
– any loss arising from the condition of the Site or of any surface as it existed before LBC’s attendance;
– any loss arising from the acts or omissions of the Client, the main contractor, other contractors or any third party.
17.3 Subject to clauses 17.1 and 17.4, LBC’s total aggregate liability arising out of or in connection with a contract, whether in contract, tort, breach of statutory duty or otherwise, is limited to the greater of (a) the total price payable under that contract and (b) £25,000.
17.4 Nothing in these terms affects the statutory rights of a Client dealing as a consumer under the Consumer Rights Act 2015.
17.5 No claim may be brought against LBC unless notice of it has been given in accordance with clause 16 and proceedings or adjudication are commenced within 12 months of completion of the Works.
18. INSURANCE
18.1 LBC maintains Employers’ Liability insurance of £10m and Public and Products Liability insurance of £5m. Certificates are available on request.
18.2 The existence of that insurance does not extend LBC’s liability beyond the limits set out in clause 17.
19. CANCELLATION, SUSPENSION AND TERMINATION
19.1 To cancel or postpone a booked appointment, the Client must give at least 24 hours’ notice. Where less notice is given, LBC may at its discretion issue a charge to recover the costs of lost business. Where LBC’s operatives attend Site to provide the service but are unable to do so through no fault of LBC, a failed delivery charge applies.
19.2 Where the Client cancels after LBC has mobilised, the Client is liable for all costs incurred and committed, including plant hire, access, materials, labour and de-mobilisation.
19.3 LBC may suspend or terminate a contract, on written notice and without liability, where: any sum is overdue; access is refused, restricted or made unsafe; site conditions are unsafe or non-compliant; the Client requires LBC to carry out work outside the Scope which the Client will not instruct as a Variation under clause 4; or the Client becomes insolvent or commits a material breach.
19.4 Where the Client instructs LBC to withdraw from Site, or offers withdrawal from Site as an alternative to carrying out work which falls outside the Scope, LBC’s withdrawal is not a breach of contract by LBC, and the Client may not recover the cost of engaging a replacement contractor.
19.5 On termination for any reason, the Client must pay for all Works carried out to the date of termination, together with all costs and commitments reasonably incurred.
19.6 LBC accepts no liability for failing to perform the Works on time, or at all, where prevented by weather, water or power supply failure, access restrictions, the actions of others, or any cause beyond its reasonable control. LBC will notify the Client as soon as possible and re-arrange for the soonest available date.
20. GENERAL
20.1 Subcontracting. LBC may subcontract any part of the Works. LBC remains responsible for the performance of its subcontractors.
20.2 Photographs. LBC may take photographs and video of the Works and use them for marketing, training and accreditation purposes without identifying the Client or the address, unless the Client objects in writing before the Works commence.
20.3 Data protection. LBC processes personal data in accordance with its Privacy Policy, available at www.lbcclean.co.uk, and with the UK GDPR and the Data Protection Act 2018.
20.4 Notices. Notices under these terms must be given in writing by email to [email protected] (for LBC) or to the Client’s last notified email address, or by post to the registered or last known address.
20.5 Third party rights. A person who is not a party to the contract has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms.
20.6 Severance. If any provision of these terms is held to be invalid or unenforceable, the remaining provisions continue in full force.
20.7 Waiver. No failure or delay by LBC in exercising any right is a waiver of that right.
20.8 Entire agreement. The Quotation and these terms constitute the entire agreement between the parties and supersede all prior discussions, representations and understandings.
20.9 Governing law and jurisdiction. These terms and any contract formed under them are governed by the law of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
